General terms and conditions

We are TT Express UAB (hereinafter TT Express or the Company). Our registered office is at E. Ozeskienes g. 15, Kaunas 44254, Lithuania. TT Express is registered in the Republic of Lithuania and its Company Registration number is 302699228. TT Express is an authorized electronic money institution (Licence no 90) regulated and supervised by the Bank of Lithuania.

Our services are provided through Our website www.ttexpress.eu.

Please note that as We operate as an electronic money institution, We are not part of the deposits and investments insurance schemes and Your funds stored within Us are not subject to deposits and investments insurance scheme coverage. Please note that Your funds are secured and are separated from Our own funds and are safeguarded at Luminor bank AS (Lithuania) and AB SEB bankas (Lithuania) or other credit institutions within the EU.


1.0 Definitions

“Account” means an E-money account opened in Our system under Your name.

“Authorised Person” means an individual who is authorised by You to provide Us with Order on Your behalf.

“E-money” means a digital exchange of funds to digital value of the funds received and that are used for the facilitation of payment transactions.

“Recipient” means the recipient of the funds that is indicated by You.

“Business Day” means a day which is not a Saturday, a Sunday or a public holiday in Lithuania.

“Conditions” means the way of doing business as set out in this document and unless agreed in writing all services carried out by Us for You will be governed by these conditions.

“Contract” means the contract between You and Us for the performance of the Services.

“Client” a client to whom We provide Services.

“Governmental Return” means tax and/ or other governmental payments and/ or returns You are expected to receive from governmental or state authorities or companies that administer the Governmental returns on Your behalf or for Your benefit.

“Governmental Return Money Transfer” means the Governmental Return funds transfer We process to the indicated Recipient’s account. This is a payment service where funds are received by Us as Your Governmental return and are sent to the Recipient indicated by You. No Account is created for the provision of this Service.

“Money Transfers” means the transfers We process to the indicated Recipient account. This service is provided to the Clients that opened an Account with us for issue and redemption of the E-money and provision of related payment services.

“Request to provide Service” or “Order”” means a request from You to enter a Contract with Us regarding the provision of Services that are specified within the Request to provide Service or Order.

“Services” means E-money and/ or payment services provided by Us as defined in these Conditions.

“Currency exchange” - means any foreign exchange transaction which You authorise Us to make forming part of Our Service.

“Politically exposed person (PEP)” – means a natural person who are or have been entrusted with important public functions and their close family members or close associates.

“Important public services” – means positions in the Republic of Lithuania, the European Union, international or foreign institutions:

  1. Head of State, Head of Government, Minister, Deputy Minister or Deputy Minister, State Secretary, Chancellor of Parliament, Government or Ministry;
  2. a member of Parliament;
  3. a member of the supreme courts, constitutional courts or other supreme judicial bodies whose decisions cannot be appealed;
  4. the mayor of a municipality, the director of the municipal administration;
  5. a member of the governing body of the supreme audit and control authority of the States or the chairman, deputy chairman or member of the board of directors of a central bank;
  6. an ambassador, a temporary trustee for affairs, the commander of the Lithuanian armed forces, the commanders of the armed forces and formations, the chief of the defence staff, or a foreign state. A high-ranking officer of the armed forces;
  7. a member of the management or supervisory body of a state-owned enterprise, joint stock company, private joint stock company, the shares or part of the shares of which, conferring more than ½ of the total number of votes at the general meeting of shareholders of these companies, belong to the state;
  8. a member of the management or supervisory body of a municipal company, joint stock company, private joint stock company whose shares or shares carrying more than ½ of the total number of votes at the general meeting of shareholders of these companies are owned by the municipality and which are considered to be large companies under the Law on Corporate Accountability of the Republic of Lithuania;
  9. the head, deputy head, member of the management or supervisory body of a transnational organisation;
  10. the head of a political party, his/her deputy, a member of the governing body.

“Close family members” means spouse, registered partner, parents, siblings, children and children's spouses, children's cohabitants.

“We”, “Us” or “Our” means TT Express UAB.

“You” and “Your” means You the client of Ours.


2.0 Services introduction. Contacting each other

2.1 This is a framework contract which sets out the terms and conditions of You and Us entering into a Contract regarding the provision of the Services.

2.2 We provide the following Services, therefore, You can request us to provide the following Services (subject to Service limitations as described below in these Conditions):

2.2.1 Governmental Return Money Transfer.

2.2.2 Opening of the Account and Account maintenance services.

2.2.3 Money Transfers.

2.2.4 Issuance and redemption of E-money.

2.2.5 Currency exchange service.

2.3 It is Your responsibility to ensure that Your current contact details and the details of any personnel acting on Your behalf are correct and up to date. When We need to send You information, We are required by law to send it to the most recent address, email address, or contact you via phone number that We have on record and that is the most recent one. If You do not keep Us informed of any changes You may not receive any updates relevant to the Contract and/ or Your Order.

2.4 You can contact us in writing by email at info@ttexpress.lt or by post to E. Ozeskienes g. 15, Kaunas 44254, Lithuania, and also via phone +370 685 98630. Working hours are during Business Days between 8 a.m. and 17 a.m. (EET).

2.5 We ensure that all communication is performed in Lithuanian and English languages. We might also support other languages like Polish, Latvian, Russian, or Ukrainian, if there is a need, however, communication in the additional languages is not guaranteed and is subject to the capabilities of Our team.


3.0 Submitting a Request to provide Services

3.1 Order is an offer by You to enter into a Contract with Us regarding the provision of Services that are indicated in the Order and are requested by You.

3.2 We will only accept Orders from You or an Authorized Person. You must supply Us with all details We require concerning potential Authorized Persons before they become accepted as an Authorized Person. We will treat the Authorized Person as having the authority from You to submit Orders on Your behalf subject to any limitations You put in place. You must notify Us immediately in writing if You wish to change any information You have provided to Us in relation to an Authorized Person or wish to cancel a person’s Authorized Person status.

3.3 Governmental Return Money Transfer Orders can be submitted by filling in the Order form through the party that administers your Governmental Return or by filling and signing the Order form online through the link that is generated by Us and is sent to Your respective email.

3.4 You can submit a Request to provide Service regarding Account opening Service and provision of related Services by filling and signing in the Order form online through the link that is generated by Us in Our website.

3.5 You are required to provide an Order for the execution of the Service in accordance with the instructions specified in the Order form.

3.6 We will always assume that the information that You have provided to Us in the Order is correct, unless We are aware of an obvious error.


4.0 Opening of the Account. Functionality of the Account

4.1 Account can be opened only to legal entities. You can open and have several accounts with Us.

4.2 For Account opening process, You are requested to provide Us with certain documents and information as it is indicated in the registration form and/ or requested by Us. For avoidance of doubt, no Contract with You shall take effect unless and until We passed our due diligence requirements.

4.3 You shall ensure that You provided Us with the correct, complete and up-to-date information and documents.

4.4 You can access the Account, get all the information about Your balance and operations while logging into Your profile within Our interface through Our website.

4.5 The Account allows You to deposit, transfer and keep the E-money in the Account. The money can be stored in EUR currency only.

4.6 E-money, which is issued by Us after You deposit the money to the Account. E-money kept in the Account is not a deposit, and for its storage, We do not pay interest or provide any other benefits related to the duration of the period that You keep E-money in the Account.

4.7 Account can be opened only to legal entities. We are not opening Accounts to natural individuals. You can open and have several accounts with Us.

4.8 You can credit your Account by transferring funds to Your Account opened with Us (i.e. by sending funds to Your Account number issued by Us).

4.9 No specific conditions for the withdrawal (redemption) of the E-money apply. In the case of E-money withdrawal (redemption E-money), You are not charged for the redemption of the E-money, however, standard transfer fees might apply (as described in Section Fees and Charges).

4.10 Payment transfers from Your Account can be made to another user’s account opened at the Company and to an account to other credit and/ or financial institution. You can initiate payment by submitting an Order for Money Transfer as it is defined in Section 5.

4.11 If You have noticed that E-money has been credited or deducted from your Account by mistake or in other ways that have no legal basis, you are obligated to notify Us about it. In such cases We have a right, and You give Us irrevocable consent to deduct the E-money from the Account that exceed the correct amount of the E-money.

4.12 You can check the Account balance and history of your Account activity by logging in to Your profile. There is also information about all commission fees applied and deducted from the Account during the selected period of time.

4.13 Information on executed and received transactions is provided in the Account statement. You can access the data while logging into Your profile in Our interface.

4.14 If You decide to terminate the Account or if We decide to terminate the Account, the E-money in the Account is transferred to Your bank account specified by You or the most recent account of Yours we are aware off. We have the right to deduct fees You owe to us.


5.0 Money Transfers

5.1 We process Money Transfers as payment services related to the Account opened with Us.

5.2 Money Transfers in EUR currency are executed no later than within 3 Business Days. Execution in other currencies than EUR depends on the currency in which you want to execute the Money Transfer. Money Transfers in other currencies than EUR are executed in partnership with Our partners. Thus, this would also affect execution timing of the Money Transfers that are done in other currency than EUR. For Money Transfers in other currency than EUR, you will be informed about preliminary execution terms based on the currency in which You want to execute the Money Transfer.

5.3. You can submit your Order for Money Transfer online while connecting to Your profile in Our interface and submitting details of Your Order for Money Transfer.

5.4 When submitting an Order for Money Transfer You can also agree with Us that the execution of the Order shall start on a specific date in the future.

5.5 If you would like to make an Order for Money Transfer in other currencies than EUR, We will provide You with currency exchange service. Currency exchange is based on the exchange rate of Our partner Currencycloud and valid at the moment of conversion and is displayed on Our website while submitting the Order and is also sent via email together with Your Order confirmation.


6.0 Governmental Return Money Transfers

6.1 We process Order for Governmental Return Money Transfers in accordance with Your Order.

6.2 In accordance with Your Order, funds can be transferred to Your other account or sent to a third party indicated by You.

6.3 Each Governmental Return Money Transfer is subject to a separate Contract We enter for the provision of this respective Service. Each Contract incorporates the terms and conditions as set out in these Conditions.

6.4 Governmental Return Money Transfers are executed no later than within 7-14 Business Days counting from the day the funds are received by Us.

6.5 If you would like to make a pay-out Order for Governmental Return Money Transfers in other currency than the funds are received by Us, We will provide You with currency exchange service. Currency exchange is based on the exchange rate of Our partners Currencycloud, Airwallex and is valid at the moment of conversion of currency.

6.6 If we can’t send the fund to the indicated recipient (for example, payment is rejected and funds are returned to Us), We will contact You and will ask You to indicate another account of the Recipient. If we receive no response from Your side within 3 months from the day We tried to contact You regarding the failed payment, we will apply a non-active user fee, that is defined in the Section Fees and Charges.


7.0 Cancellations and Refunds

7.1 We cannot change or cancel any Order for Money Transfers where We have started the execution process of the transaction in accordance with Your Order for Money Transfers. Requests to cancel the Order shall be submitted via email.

7.2 Already submitted Order for Governmental Return Money Transfer cannot be cancelled, however, till the initiation of the execution of the Your Order to the selected Recipient, You can contact us and change the details of the Order (i.e. to change the Recipient). Requests to change the Order details shall be submitted via email.

7.3 Money Transfers that You have instructed Us to make in the future can be cancelled up to the last Business Day before the date on which the payment is due. Cancellations should be made by email.

7.4 For foreign currency transactions there may be a charge payable for any cancelled Money Transfers and/ or Governmental Return Money Transfers due to fluctuations in exchange rates.

7.5 If You ask Us to make a Money Transfer or Governmental Return Related Money Transfer to an account in a bank/ financial institution in the EEA and that bank/ financial institution confirms that it did not receive payment then We will refund the amount of the payment and return You to the position You would have been in if the Order had not been made.

7.6 A refund will not take place if We prove that the money was received by the recipient’s bank/ financial institution or if there was a mistake in the details provided by You in respect of the Order. In such an instance We will make reasonable efforts to recover the funds and will charge You an amount for doing so. We will tell You the amount that this will be prior to Us taking any action.

7.7 If You ask Us to make a Money Transfer or Governmental Return Related Money Transfer to an account of a bank outside the EEA and the bank/ financial institution does not receive the payment because of an error caused by Us then We will refund the amount of the payment. If We can prove that We have carried out the instruction as per Your Order, then We will make reasonable efforts to recover the funds and may levy an additional charge for doing so. Such additional charge will be notified to You and will be payable by You to Us upon demand.


8.0 User Identification

8.1 We are entitled to verify the identity of You (i.e. our client) as per our Anti-Money Laundering Prevent Policy and the applicable requirements under the Laws of the Republic of Lithuania. Therefore, from time to time, We might ask You to provide information and documents related to You or your Money Transfers or other activities related to the Services We provide to You.

8.2 You covenant to ensure that the information You provide relating to this agreement and provision of the Services is correct and accurate.


9.0 Liabilities

9.1 We will not be liable for any losses You suffer or costs that You incur when:

9.1.1 We do not act upon Your Order for a reason specified in these Conditions.

9.1.2 The details contained in the Order provided by You were incorrect.

9.1.3 We cannot carry out the Order for any reason that is reasonably beyond Our control. This includes failure of any computer machine, electronic device, hardware or software or payment system and any act, omission or failure of any agent or third party.

9.2 We will not be liable for any loss of You that has been made if You have behaved fraudulently.

9.3 We will not in any circumstance be liable for any loss of business, goodwill, opportunity or profit or any loss that We could not have reasonably anticipated at the time given Us Your Order.

9.4 Where You believe that We have performed Money Transfer and/ or Governmental Return Money Transfers incorrectly or without authorization then You must inform Us of the same as soon as possible, or in any event, within 13 months of the date the Money Transfer or Governmental Return Money Transfer was made (saved for cases where We agreed otherwise within these Conditions). If We are not notified within 13 months, We are not liable to You.

9.5 In case of Account related Services, you shall check information about performed Money Transfers in the Account at least once a month and notify Us about unauthorized or improperly executed Money Transfers.

9.6 We shall only be liable for direct damages caused by direct breach of the Contract that is made by Us. In all cases, We will not be liable for Your loss of profit, reputation and etc.

9.7 For Account and related Services (provided to legal entities only), We agree not to apply provisions of section III of the Law on Payments of the Republic of Lithuania, as well as the requirements set out in paragraphs 1, 2 and 3 of Article 4, paragraphs 1, 2 and 5 of Article 11, paragraph 3 of Article 29, Articles 37, 39, 41, 44, 51 and 52 of the Law on Payments of the Republic of Lithuania, agree on a different term than that established in Article 36 of the Law on Payments of the Republic of Lithuania.


10.0 Notification of changes

10.1 We may amend these Conditions from time to time, for example, in order to comply with changes in the law or regulatory requirements or due to changes in market conditions.

10.2 If We make any change to Our Conditions, We will do so in writing and notify You by email and/ or by placing a notice on Our Website. We will also inform You of the date from which any change is to take effect (the “Effective Date”). The Effective Date will be at least 60 days after the date We notify You of the change. Changes that We make to these Conditions will normally apply to Contracts entered after the Effective Date but will also apply to Contracts entered into before the Effective Date where We are able to make them do so by law or regulatory requirements. You will be deemed to have accepted the changes to these Conditions unless You notify Us of contrary prior to the Effective Date. This does not affect Your right to terminate this Contract immediately without charge prior to the Effective Date.

10.3 You should be informed about amendments of the Conditions by the notification that has been sent to You by email. Amended Conditions will also be published on Our website.

10.4 The notice period of 60 days shall not apply, if:

10.4.1 The Conditions are changed due to the changes in the mandatory requirements of the legislation.

10.4.2 A new service or a part of a service appears.

10.4.3 In case of non-essential amendments of the Agreement like style and/ or grammar corrections.


11.0 Ending this agreement. Suspension of services

11.1 These Conditions shall apply to all Contracts until such time as either party terminates this Contract or where the requested Service is executed (Order for the Governmental Return Money Transfer Service is executed) or cancelled.

11.2 You may terminate this Contract at any time by providing Us with notice via email. Orders that have already been entered into will however remain in place and will not be cancelled automatically.

11.3 We may terminate the Contract at any time with notice via email. Please note that this does not interfere with Our right to refuse to accept an Order in relation to each individual Contract.

11.4 We, at our own discretion, has the right and without prior notice apply one or several of the following measures:

11.4.1 To suspend execution of one or several Order or suspend the provision of Services.

11.4.2 To block the Account.

11.4.3 To refuse to provide Services.


12.0 Authorizations, representations and warranties

12.1 The representative(s) who makes Orders and accepts these Conditions must have supplied their signature to Us either on Our Order form or on separately agreed documents (for example, by accepting these Conditions online in Our website).

12.2 Orders made by Authorized Persons will be binding upon You and enforceable against You.

13.0 Additional Provisions

13.1 These Conditions and any disputes arising out of or related to Our Services are governed by and interpreted by the laws of the Republic of Lithuania, and each party hereto irrevocably submits to the exclusive jurisdiction of the courts of the Republic of Lithuania. This is the case regardless of whether You reside or transact business with Us elsewhere in the world.

13.2 If any part of the Contract is unenforceable, unlawful or void in any relevant jurisdiction then that part will be separated from the Contract, which shall remain valid and enforceable.


14.0 Complaints about Our service

14.1 You can submit an inquiry in writing by sending an email to Our address - feedback@ttexpress.eu or by mail to Our office address.

14.2 Your claim must specify:

14.2.1 Your full name (for a natural person) / name of the client (for a legal entity).

14.2.2 Address of the You.

14.2.3 Your phone number and Your email address.

14.2.4 The essence of Your complaint, i.e. which of Your rights or legitimate interest have been violated.

14.2.5 Documents related to Your complaint.

14.2.6 Request for a complaint.

14.3 Your complaint shall be signed by You or by the Authorized person.

14.4 Complaints submitted by You will be investigated by the respective employees of Us appointed to administer Your complaint. Your complaint will be investigated based on our internal Complaints Handling Rules.

14.5 The complaint shall be presented in Lithuanian and/ or English. You shall submit your complaint not later than 3 months after You became aware of the circumstances giving rise to your complaint.

14.6 Our final response to Your Compliant or the letter explaining why the final response has not been completed, will be provided to You within 15 Business Days after your complaint has been made, and in exceptional circumstances, within 35 business days (by clearly stating the reasons for the delay of final response).

14.7 You also have the right to submit a request or a notification to the Bank of Lithuania. Requests or notifications can be filed in writing or via email and submitted to these addresses: Totorių str. 4, 01121 Vilnius, info@lb.lt, and Žalgirio str. 90, 09303 Vilnius, pt@lb.lt.


Fees and Charges

We apply fees and charges:

  • EUR Governmental Return Money Transfer (SEPA): 20 EUR per transaction, if the remittance is requested in EUR and 10 EUR if in local currency.
  • EUR Governmental Return Money Transfer (SWIFT OUR): 15 EUR per transaction.
  • EUR collection for Governmental Return repeated Money Transfer: 20 EUR
  • USD Governmental Return Money Transfer (SWIFT OUR): 39 USD per transaction (all fees are covered, so no additional fees from the correspondent, or local bank).
  • USD collection for Governmental Return account administration: 6 USD
  • USD collection for Governmental Return repeated Money Transfer: 20 USD
  • Currency exchange margin: 2,9%
  • Non-active user (for Governmental Return Money Transfer Service)
    - 15 EUR per month for first year of inactivity,
    - 30 EUR per month for second year of inactivity,
    - 45 EUR per month for third year and further years of inactivity.
  • E- money Account opening and maintenance fee - 0 EUR.
  • EUR Money Transfers (SWIFT SHA): 0,55 EUR per transaction.
  • EUR Money Transfers (SWIFT OUR): 13 EUR per transaction.
  • E- money Account opening and maintenance fee - 0 EUR.
  • EUR Money Transfers (SWIFT SHA): 0,55 EUR per transaction.
  • EUR Money Transfers (SWIFT OUR): 13 EUR per transaction.
